Acceptance of Terms
By accessing or using LedgerMind, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including CPA firms and the SMB clients they invite. LedgerMind reserves the right to update these terms at any time; continued use of the platform after changes constitutes acceptance of the revised terms.
Description of Service
LedgerMind is a financial health monitoring platform designed for CPA firms and their SMB clients. The platform connects to accounting software (such as QuickBooks Online), analyzes financial data, and generates health scores, trend indicators, risk flags, and AI-powered insights. These outputs are made available to the CPA firm managing the client relationship. SMB clients may view a read-only summary of their own financial health data.
Eligibility
LedgerMind is intended for business use only. Access to the platform is by invitation only — SMB clients must be invited by a CPA firm with an active LedgerMind subscription. CPA firms must register and maintain a valid subscription to use the platform and invite clients. You represent that you have the authority to bind your business to these terms and that your use of the platform is for lawful business purposes.
Use Restrictions
You may not reverse engineer, decompile, or attempt to extract the source code of the platform. You may not scrape, bulk-export, or systematically collect data from LedgerMind through automated means. You may not use the platform to process data on behalf of clients who have not been properly invited and consented to the service. You may not misuse financial data accessed through the platform for purposes other than financial health monitoring within the scope of the CPA-client relationship.
Financial Disclaimer
LedgerMind provides informational financial health scores and AI-generated insights based on the data you connect to the platform. Nothing on LedgerMind constitutes accounting advice, tax advice, investment advice, or any other form of professional financial advice. The platform is a monitoring and alerting tool — not a substitute for professional judgment. Always consult your CPA or qualified financial advisor before making business decisions based on any information provided by LedgerMind.
Data Accuracy
Financial health scores and metrics are computed based on the data you or your CPA provides, including data retrieved from connected accounting software. LedgerMind does not independently verify the accuracy or completeness of this data. The quality of insights depends directly on the quality of data provided. LedgerMind is not liable for any decisions, losses, or outcomes resulting from reliance on scores or insights generated by the platform.
Termination
The CPA firm managing your account may remove your access at any time. LedgerMind may suspend or terminate access for any account found to be in violation of these terms, engaged in fraudulent activity, or otherwise posing a risk to the platform or other users. Upon termination, your data will be retained for 30 days before permanent deletion, unless an earlier deletion is requested.
Governing Law
These Terms of Service are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York.
